Mike is a member of the firm’s Corporate Department, and leads its Securities Practice Group. His diverse practice includes private equity fund formation and investing, mergers and acquisitions, public and private securities offerings, public company disclosure and compliance, executive compensation, stock plan design and administration, contracting and licensing, and representation of early stage companies.
Representative Transactions
- Advised numerous technology entrepreneurs in the formation, financing and operation of their early stage businesses.
- Represented Park Street Capital in the formation and investment of a series of “funds of funds” to invest over $2 billion in venture capital, buyout and other private equity funds.
- Represented The Holmes Group, a consumer appliance manufacturer, in the acquisition of The Rival Company by tender offer, including over $400 million of high-yield bonds and syndicated debt and equity financing.
- Assisted Revenue Solutions, Inc., an IT consulting firm, in submitting winning RFP bids and negotiating over $100 million of state and local government contracts nationwide.
- Represented the founder of Bertucci's restaurants in a proposed going-private merger and the eventual sale of the company to a hostile bidder.
- Advised the firm’s public company clients in all aspects of securities law compliance, including their dealings with investors, analysts, regulators, insiders and the media.
